Welcome to PinkSpider, an AI-powered influencer compliance platform designed to help brands and their influencers streamline content review for regulatory and brand guideline compliance. These Terms of Service ("Terms") govern your access to and use of the PinkSpider software-as-a-service platform, including any websites, applications, and services provided (collectively, the "Service").
In these Terms, "PinkSpider," "Company," "we," or "us" refers to PinkSpider, LLC and "you" or "User" refers to any individual or entity using the Service. By registering for, subscribing to, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
You must be at least 18 years old to use PinkSpider. By using the Service, you represent that you are 18 or older (or the age of majority in your jurisdiction). Each User must register an account or be invited to one and provide accurate, current information.
Passwords must be at least 8 characters long and should not be a commonly used or compromised password. We encourage the use of passphrases and a mix of letters, numbers, and symbols. For your security, do not reuse passwords from other accounts.
You are responsible for maintaining the confidentiality of your credentials. If you become aware of unauthorized access, you must promptly notify us. We are not liable for any damage arising from your failure to secure your account.
PinkSpider is offered on a subscription basis. If you are a Brand User, you agree to pay all fees associated with the subscription plan you select. Fees may be billed in advance on a recurring basis (monthly or annually) or as otherwise agreed. All fees are stated and payable in U.S. Dollars, and are non-refundable except as required by law. You are responsible for any taxes, duties, or similar assessments (excluding taxes on our income).
Brand Users: You are responsible for ensuring compliance with all applicable laws. You may use the Service to create influencer marketing campaigns, upload brand materials, and invite influencers. You agree to treat influencer data in accordance with applicable privacy laws and our Privacy Policy.
Influencer Users: You may use PinkSpider to review brand briefs, upload your content, and receive compliance feedback. You remain responsible for the content you create, and represent that it does not violate any law or infringe third-party rights.
You agree not to misuse the Service. Prohibited conduct includes: uploading unlawful or infringing content, attempting unauthorized access, interfering with the Service, impersonating others, or reverse engineering our systems. All content submitted must adhere to brand and regulatory standards.
Ownership: You retain any intellectual property rights in the content you submit ("User Content").
License to Us: To provide the Service, you grant PinkSpider a worldwide, non-exclusive, royalty-free license to host, store, display, process, and analyze your User Content. This includes AI-driven compliance analysis and reporting for campaign participants.
AI Training: You acknowledge that PinkSpider may, now or in the future, use de-identified or aggregated user content to train or improve its artificial intelligence models and systems. We will not publicly disclose your identifiable content without your consent.
License to Other Users: Campaign collaborators may view and use User Content as intended by the Service. For example, a brand reviewer may view an influencer submission for approval.
The Service, including all software, designs, algorithms, logos, and trademarks, is owned by or licensed to PinkSpider, LLC. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Service. You may not copy, modify, distribute, sell, or create derivative works from the Service unless expressly authorized by us.
We may rely on third-party service providers for hosting, storage, AI analysis, email delivery, and payment processing. While we select reputable providers and impose contractual safeguards, PinkSpider is not responsible for acts or omissions of third-party providers. Your use of third-party services may also be subject to their own terms and policies.
Your privacy is very important to us. Our Privacy Policy explains how we collect, use, and share your information. By using the Service, you consent to these practices.
The Service is provided "as is" and "as available." To the maximum extent permitted by law, PinkSpider disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be error-free or that all compliance issues will be detected.
To the fullest extent permitted by law, PinkSpider's total cumulative liability arising out of or relating to the Service will not exceed the greater of $100 or the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
You agree to indemnify and hold harmless PinkSpider, LLC from any claims, damages, or liabilities arising from your use of the Service, your User Content, or your violation of these Terms.
You may stop using the Service at any time. We may suspend or terminate access immediately if you violate these Terms, create risk for others, or engage in unlawful conduct. Termination will not entitle you to refunds of fees paid.
These Terms are governed by the laws of the State of Arizona, excluding its conflict-of-law principles. You agree that any disputes, claims, or controversies arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts.
PinkSpider may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and PinkSpider, LLC.
